ALGEMENE VERKOOPSVOORWAARDEN

Behoudens voorafgaandelijk en schriftelijk akkoord hebben onze verkoopsvoorwaarden voorrang op de voorwaarden van onze correspondenten. De partijen erkennen bovendien dat de verkoop gesloten is volgens de schikkingen van de Belgische wet, ook voor de gevallen welke niet voorzien door dit contract. Wanneer geen bijzondere afwijkende overeenkomsten blijken uit briefwisseling tussen de partijen, worden volgende algemene voorwaarden geldend :

Bestellingen

De bestellingen, orders en alles wat in de ruimste zin hieronder kan worden bedoeld, worden slechts als definitief aanzien na het tekenen van een contract of bestelbon. Offertes, prijzen en andere opgaven zijn vrijblijvend en kunnen gebeurlijk veranderen. Gedrukte voorwaarden op brieven van kopers of opdrachtgevers zijn ons slechts tegenstelbaar indien deze door ons schriftelijk zijn aangenomen.

Leveringen

Alle bedingen betreffende leveringstermijnen worden als aanwijzend beschouwd, ze zijn in geen geval bindend. De goederen reizen op kopersrisico, onafhankelijk van de wijze van levering zelfs indien deze vrachtvrij gebeurt. Behoudens uitdrukkelijke vermelding zijn de kosten, taksen en rechten gevorderd door de toldiensten, tolagentschappen en de banken ten laste van de koper. Ingeval de koper weigert de verkochte koopwaren in ontvangst te nemen, zal de verkoopsovereenkomst van rechtswege en zonder voorafgaandelijke ingebrekestelling verbroken worden. In dit geval zal de koper, ten titel van strafbeding, gehouden zijn tot betaling van een forfaitaire schadevergoeding gelijk aan 50 % van de verkoopprijs Indien het om niet-courante, exclusieve leveringen gaat zal de forfaitaire schadevergoedering gelijk zijn aan 100 %. Bij eenzijdige verbreking van een contract of bestelling. is er van rechtswege en zonder aanmaning een som verschuldigd gelijk aan 30% van de prijs. Alle gevallen van overmacht ontslaan van ons alle verantwoordelijkheid en geven ons het recht aan ieder contract zonder enige vergoeding anderzijds te verzaken of wel de uitvoeringstermijn er van te verlengen, rekening houdend met de duur van de overmacht. Onder overmacht worden behoudens de louter toevallige en vreemde oorzaken die de levering volstrekt verhinderen, ook onverwachts gevallen verstaan die de levering ten zeerste bemoeilijken, zoals mobilisatie, stakingen, exploitatie-ongevallen, niet-levering van door ons vastgestelde grondstoffen ingevolge onvoorziene omstandigheden, enz.

Vertegenwoordiging

Overeenkomsten met onze vertegenwoordigers en afgevaardigden zijn slechts geldig mits ons schriftelijk akkoord. Ze zijn evenmin gemachtigd het bedrag van onze facturen te innen tenzij de drager zijn van een door ons getekende volmacht.

Geschillen

Alle geschillen voortvloeiende uit overeenkomsten of factuurbedingen zullen uitsluitend worden onderworpen aan de rechtbanken van het gerechtelijk arrondissement leper.

Klachten

Klachten worden door ons aanvaard indien ze ons worden gericht met aangetekend schrijven, dit binnen de 8 dagen. Geen enkele klacht geeft de koper het recht de betalingen uit te stellen of het bedrag er van te verminderen. Eventuele vertraging of uitstel van betaling geeft ons het recht de nog lopende contracten te annuleren, zonder dat de koper op enige schadevergoeding zal kunnen aanspraak maken.

Betaling

De geleverde goederen blijven eigendom van de verkoper tot de volledige betaling van de gefactureerde waarden. Onverminderd de schriftelijke overeenkomsten tussen partijen is de factuur van rechtswege en zonder aanmaning betaalbaar ten onze huize binnen de 30 dagen na de toezending van de factuur. Een wissel of welke andere betalingsmodaliteit ook kan niet beschouwd worden als afwijking aan deze bepaling of als schuldhernieuwing. Alle verdisconteringskosten en agioʼs met betrekking op de effecten uitgegeven door de koper vallen te zijnen laste. Het versturen van herinneringsbrieven of vraag tot betaling waarbij geen rente of schadevergoeding wordt gevraagd, zal niet kunnen worden beschouwd als een afstand van het recht deze op te vorderen. Het indienen van een klacht mag in geen geval toelaten de betaling geheel of gedeeltelijk uit te stellen wanneer de vervaldag verstreken is. Bij wanbetaling op de vervaldag is er van rechtswege en zonder aanmaning een intrest verschuldigd van 12 % per jaar. Daarenboven zal bij niet-betaling op de vervaldag tengevolge van nalatigheid of kwaadaardigheid en na ingebrekestelling het bedrag van de factuur ambtshalve met 10 % worden verhoogd, met een minimum van 40 EURO en onverminderd de verwijlintresten en gerechtskosten ten titel van conventioneel strafbeding als forfaitaire schadevergoeding, wegens buitengerechtelijke kosten, zonder dat deze bepaling een beletsel wordt voor de eventuele toepassing van art. 1244 B.W. ten gunste van de schuldenaar.


GENERAL TERMS OF SALE

Unless previously agreed in writing our conditions of sale rank above the conditions of our correspondents. The parties also recognize that the sale is closed according to the laws and statutes of Belgium, even for cases that are provided for in the contract. If no special, deviating agreements are apparent from the correspondence of the parties, the following general condition take effect :

Orders

Orders, commands and everything that may be meant by it in the full sense of the word, can only be considered as being final after signing a contract or an order-form. Offers, prices and other instructions remain free and can possibly change. Printed conditions in letters of buyers or principals can only be brought forward against us if they have been accepted by letter.

Deliveries

All stipulations concerning time of delivery are considered as being approximative. In no case they are binding. Goods in transit are at the risk of the buyer independent of the way of delivery, even when being delivered free of charge. Unless otherwise agreed all charges for duty customs clearance and banking services are chargeable to the buyer. If the buyer refuses to take delivery of the goods he bought, the agreements of sale will be broken in justice and without preceding putting in default. In this case the buyer will be obliged by way of penalty clause to pay a definite compensation to the amount of 50% of the selling price. If it concerns non-concurrent, exclusive deliveries the fixed compensation will equal 100 %. By unilateral breaking of a contract or of an order, a sum will be due in justice and without warning calculated at 30% of the price. The rule of force majeure shall apply to release us from all responsibility under any contract without compensation and empowers us to extend date of delivery taking into account the duration of the force majeure. Force majeure shall include not only merely fortuitous and strange causes which completely prevent deliveries, but also unexpected situations which greatly thwart the delivery such as mobilizations, strikes, exploitation-accidents, non-delivery of raw materials ordered by us, etc.

Agency

Agreements with our agents and representatives are only valid provided our written agreement. They do not have power to cash the amount of our invoices, unless they are porter of a proxy signed by us.

Quarrels

All quarrels consequent on agreements or stipulations in the invoice will be exclusively submitted to the courts of justice of the judicial district leper.

Claims

Claims will be accepted if they are sent to us by registered post within 8 days. No claim gives the buyer the right to delay or to reduce the amount due. Any delay gives us the right to cancel all outstanding contracts without compensation.

Payment

Delivered goods remain property of the seller until complete payment of all invoiced values. Without prejudice to written agreements of the parties the invoice must be paid by justice and without warning at our house within 30 days after the sending of the invoice. A draft or whichever modality of payment cannot be considered as a deviation from this stipulation or as a renewal of debt. All charges and premiums relating thereto are for the account of the buyer. The sending of recollection-letters or a request for payment in which no interest or compensation is asked for, cannot be considered as a relinquishment of the right to claim it. The presentation of a claim shall in no case permit to delay the payment completely or partly if the day of payment has expired. In default of payment when due, a compensation of 12 % a year is indebted in justice and without warning. Moreover by non-payment on the due date owing to carelessness or malevolence and after formal summons, the amount will be officially raised with 10 %, with a minimum ot 40 EURO and undiminished the compensation and legal charges by way of conventional compensation, because of exceptional legal charges, without this stipulation being an impediment for the potential application of article 1244 of the Belgian Code in favour of the debtor.


ALLGEMEINE VERKAUFSBEDINGUNGEN

Außer vorheriger und schriftlicher Vergleich haben unsere Verkaufsbindungen vorrang auf die Bedingungen unserer Korrespondenten. Die Parteien erkennen zudem daß der Verkauf nach dem Belgischen Recht abgeschlossen ist, auch für Fälle welche in diesem Kontrakt nicht vorgesehen sind. Die hiernafolgenden Bedingungen werden geltend wenn keine besonderen, abweichenden Übereinkünfte sich aus der Korrespondenz der Parteien zeigen :

Bestellungen

Die Bestellungen, Aufträge und was hierunter im weltesten Sinne beabsichtigt werden kann, werden betrachtet als entscheidend nach Unterschreibung eines Vertrags oder Bestellzettel, Offerten, Preise und ändern. Gedrückte Bedingungen in Kaufbriefen oder in Briefen von Auftraggebern können nur gegen uns angeführt werden falls sie schriftlich von uns angenommen werden sind.

Lieferungen

Alle Bedingungen betreffs Lieferungszeit sind nur annährend, sie sind auf keinen Fall bindend. Die Waren reisen auf Risiko und Verantwortung des Käufers unabhängig von der Lieferungsweise auch bei frei Haus- Lieferungen. Sofern nicht anders vereinbart, gehen sämtliche Spesen und Steuern durch das Zollamt, Zollagenturen sowie Banken zu lasten des Käufers. Falls der Käufer sich weigert die gekauften Waren zu empfangen, wird der Verkaufsvertrag rechtens und ohne weitere Mahnung gebrochen werden. Der Verkäufer ist in diesem Fall, als Strafbestimmung, einen festgesetzten Schadenersatz von 50 % des Verkaufspreises verschuldet. Bei nicht märktgängigen, exklusiven Lieferungen ist der festgesetzte Schadenersatz 100%. Bei einseitigem Erbrechen eines Vertrags oder einer Bestellung ist rechtens und ohne weitere Mahnung ein Betrag von 30 % des Preises verschuldet. Alle Fälle von höherer Gewalt entlassen uns von aller Verantwortung und geben uns das Recht an jeden Kontrakt, ohne Vergütung unsererseits, zu versäumen oder den Liefertermin zu verlängern. Rechnung haltend mit der Dauer zu der höheren Gewalt. Unter Fällen höheren Gewalt versteht man außer rein zufälligen und fremden Ursachen, die die Lieferungen total verhindern, auch unerwartete Fälle wie Mobilmachung, Streiks, Betriebsunfälle, Nicht-Lieferung des durch uns rechtzeitig angekauften Rohmaterialien wegen unerwarteter Umstände usw.

Vertretung

Übereinkünfte mit unseren Vertretern oder Abgeordneten sind nur gültig nach unserem schriftlichen Vertrag. Sie sind nicht bevöllmachtigt den Betrag unseren Rechnungen zu einkassieren wenn sie keine von uns unterzeichnete Ermächtigung tragen.

Streitigkeiten

Alle Streitigkeiten folgend aus Verträgen oder Verkaufs bedingungen sind den Gerichten des gerichtlichen Bezirks leper unterworfen.

Reklamationen

Reklamationen werden von uns angenommen wenn sie uns durch Einschreibebrief versandt werden innerhalb von 8 Tagen. Keinerlei Klage gibt dem Käufer das Recht, Zahlungen zu verschrieben oder den Betrag zu vermindern. Eventueile Verzögerung oder Zahlungsfaufschub gibt uns das Recht die noch laufenden Kontrakte zu annulieren ohne Schadenersatz für den Käufer.

Bezahlung

Die gelieferten Waren behalten wir uns bis zur restlosen Bezahlung unserer Guthaben (bzw. bis zur restlosen Einlösung der Wechsel und Schecks) das Eigentumsrecht vor. Außer den schriftlichen Verträgen zwischen den Parteien ist die Rechnung rechtens und ohne weitere Mahnung in unserem Hause innerhalb von 30 Tagen nach Zusendung bezahlbar. Ein Wechsel oder eine andere Zahlungsmodalität bedeutet keine Abweichung an dieser Bestimmung. Alle Diskontierungsspesen und Agios mit Bezug auf die durch den Käufer ausgegebenen Effekten gehen zu seinen Lasten. Die Versendung von Erinnerungsbriefen oder von einer Mahnung, in dienen keine Zinsen oder keinen Schaden ersatz gefragt werden, kann nicht besehen werden als eine Abtretung des Rechtes sie einzutordern. Keinerlei Klage gibt dem Kaufer das Recht die Bezahlung völlig oder zum Teil zu verschieben nachdem der Verfalltag verstrichen ist. Im Nichtzahlungsfalle am Verfalltag sind von Rechtswegen und ohne Mahnung Zinsen von 12 % pro jahr fällig. Außerdem wird im Nichtzahlungsfalle am Verfalltag infolge Nachlässigkeit oder Böswilligkeit und nach Inverzugsetzung, der Betrag der Rechnung von Amtswegen mit 10 % erhöht werden mit als Mindestbetrag 40 EURO und unbeschädet der Verzugszinsen und Gerichtskosten als festgesetzter Schadenersatz, wegen außgerichtlicher Kosten, ohne daß diese Bestimmung ein Hindernis wird für die eventuelle Anwendung von Artikel 1244 des Belgischen Gesetzbuches zugunsten des Schuldners.

Shipping and Handling

We endeavor to ship purchases of in-stock items the same day of receiving your order. We ship mostly with PostNl Package service.

Delivery schedules are estimates. Actual delivery times may vary depending on ship-to locations. When estimating package delivery time, please allow for credit approval, address verification and order processing.

Multiple Shipping Addresses

Each separate address you instruct us to ship to, including gift recipient addresses, will be considered a separate order and subject to applicable shipping charges.

Shipments to P.O. Boxes

Items cannot be shipped to P.O. Boxes.

Return, Exchanges and Refunds

Every item sold is unconditionally guaranteed. If you are not satisfied with your purchase or gift for any reason, simply return the items within 30 days for a quick exchange, refund, or credit. We only ask that you return the merchandise in new condition, in the original box and shipping carton with your receipt.

You may return the item via mail. Shipping is refunded only if the wrong items were shipped, or if the merchandise was received damaged.

If returning via mail and you do not have your receipt, please send a letter with your merchandise and include the following information: name, address, phone number, order number, item description/name, and reason for return.

Whether or not to provide such information is completely your own choice. In that case, you won’t be able to connect to the server and therefore won’t be able to place an order through an insecure connection. Unfortunately, however, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information, we cannot guarantee or warrant the security of any information you transmit to or from our web site, and you do so at your own risk. Once we receive your transmission, we will do our best to protect its security on our systems.

We urge you to keep your password in a safe place and not to divulge it to anyone. Also remember to sign off your account and close your browser window when you have finished your visit. This is to ensure that others cannot access your account, especially if you are sharing a computer with someone else or are using a computer in a public place such as a library or Internet cafe.
